GENERAL TERMS AND CONDITIONS OF SALE

1. Application and Acceptance of the General Terms of Sale
1.1. These General Terms of Sale, together with any Specific Conditions that may be established, will govern the relationships between Alexpo Converting, S.L. (hereinafter referred to as “Alexpo,” or the “Company”) and business owners who do not hold the legal status of consumers (hereinafter, the “Client” or the “Business Owner”) and who purchase the products Alexpo offers through its electronic sales platforms.
1.2. All purchases made through electronic sales on Alexpo’s 3M Express Service e-commerce platform are subject to these General Terms, Law 7/1998, of April 13 on General Contract Conditions, and Law 34/2002, of July 11, on Information Society Services and Electronic Commerce.
1.3. The acquisition of products through Alexpo’s electronic sales platforms implies unconditional acceptance of these General Terms of Sale / Legal Information / Privacy Policy.
1.4. The procedures for purchasing products through Alexpo’s electronic sales platforms are those described in these General Terms, in the Specific Conditions that may apply, and the instructions displayed on the screen. Alexpo may modify these General Terms without prior notice.
1.5. Any modification to these conditions, including those in Alexpo's quotes or agreed upon in any document between the parties, made unilaterally by the Client on any medium, and without prior and express acceptance by Alexpo, will be deemed null and void and will have no binding effect.
2. Obligations of Alexpo
2.1. Alexpo will only be liable for damages that the Client may suffer as a result of using its sales platforms if such damages are attributable to the Company’s willful misconduct. The Client acknowledges and accepts that the use of Alexpo's electronic sales platforms and the purchase of products is done at their own risk and responsibility.
2.2. Alexpo is not responsible for damages that may arise from, including but not limited to: (i) omissions, interruptions, computer viruses, malfunctions, and/or disconnections due to causes beyond Alexpo's control; (ii) delays or blocks in usage caused by Internet deficiencies or overloads in other electronic systems; (iii) damages caused by third parties through unauthorized intrusions into electronic systems or force majeure; (iv) discrepancies between information and/or documentation in printed and electronic versions.
2.3. Since Alexpo cannot control how Clients use its electronic sales platforms, it does not guarantee that Clients will use them in compliance with the law, these General Terms, morality, or good conduct, nor does it guarantee diligent and prudent use.
3. Client Obligations
3.1. The Client is obligated not only to comply with these General Terms but also with the Specific Conditions and any applicable laws.
3.2. Specifically, and not exclusively, the Client is obligated to provide truthful data and keep it updated; to not introduce, store, or distribute defamatory, offensive, obscene, threatening, xenophobic information that incites violence or discrimination based on race, sex, ideology, religion, or that violates public morals, public order, fundamental rights, public freedoms, honor, privacy, or the image of others, or violates current laws; to not introduce into electronic systems any programs, data, viruses, or devices that could damage or disrupt the normal functioning of such systems; to properly safeguard the Business Owner’s name and password, ensuring that third parties do not gain access, and assuming direct and objective responsibility for any damage resulting from their misuse. The Business Owner also agrees to promptly notify Alexpo of any loss or theft of access credentials, as well as any risk of unauthorized access; to not engage in advertising or commercial activities through Alexpo's electronic systems, nor to collect others' personal data. Furthermore, the Business Owner agrees not to use false identities or introduce content that infringes on intellectual, industrial, or business secrets of others or third parties.
4. Alexpo Products and Purchase Process
4.1. The Products offered by Alexpo on its electronic sales platforms will appear on the screen, along with their features and price. For products that require it, Alexpo makes available to Customers the product data sheets. The indicated prices do not include the applicable VAT Prices will always be those in effect, unless a typographical error occurs. Offers will be properly indicated. Alexpo reserves the right to decide at any time the products for sale and to modify their prices without prior notice. In the absence of updates, the agreed prices will be increased or reduced depending on the variation of the CPI or an equivalent index that replaces it. Alexpo also reserves the right to stop providing access, at any time and without prior notice, to any of the products offered.
4.2. In order to place purchase orders, the Customer must register. The username and password are personal and non-transferable. The Customer can modify the password at any time.
4.3. Once registered, the Client can add the desired products to the Shopping Cart, according to the instructions displayed on the screen. Then, they can fill out the purchase form and send it to Alexpo. This submission implies the reading and irrevocable acceptance of these General Conditions, the Privacy Policy, any applicable Specific Conditions, and the warranty terms of each product. The purchase will be deemed completed at Alexpo's registered address.
4.4. Once the purchase is made, Alexpo will send the Customer a proof of purchase via email. The Customer will later receive their invoice at the email address provided during the registration process.
4.5. Likewise, Alexpo reserves the right to cancel the Client’s account and password for those Clients who violate the terms of the General or Specific Conditions and/or maintain outstanding debts with Alexpo.

5. Billing, Payment, and Delivery of Goods
5.1. Unless otherwise agreed, the billing date will be the date of shipment of the goods.
5.2. The Customer must make payments to Alexpo within the agreed deadlines or within the maximum legal term, whichever is shorter. Alexpo retains ownership of the Products until full payment is made. Furthermore, the Customer acknowledges that non-payment of an invoice or series of invoices entails: (i) the enforceability of the principal, regardless of the form and term of payment; (ii) the application of legislation on measures to combat late payments, along with the charge of interest for late payment and compensation for collection costs, respectively; (iii) the possible retention of new orders until the outstanding balance is cleared, and the forfeiture of any granted bonuses (rebates, trade discounts, etc.).
5.3. Alexpo is obliged to deliver the purchased goods to the Customer's address indicated for this purpose in the order form. The delivery time will be indicated with each order and, in any case, will always be approximate. If the delivery time exceeds more than 50% of the initially announced approximate time, Alexpo will inform the Customer. Transportation costs, except in the case of exports, special requests, urgent orders, or orders that do not meet the minimum requirements, will be borne by Alexpo. However, Alexpo reserves the right to apply additional charges for the following reasons:
- Minimum order
- Split order
- Returns due to Customer error
- Returns of products exclusive to Customers
- Merchandise storage
- Orders received outside the online platform
- Other (relabeling, special packaging, etc.): Please inquire.
If the Customer cannot cover the aforementioned charges, or if their financial situation is deemed by Alexpo to be precarious or unsustainable, the Company may require the Customer to make additional payments or provide supplementary guarantees, which will be essential conditions for continuing and completing the entrusted purchase.
5.4. Upon delivery, the Customer must perform all necessary checks to ensure that the purchased products are in perfect condition and match the order placed. Acceptance will be indicated by a stamp or signature in the designated space on the delivery notes or transportation receipts. In any case, signing the designated space on the transportation receipts implies acceptance of the delivery.
5.5. Orders received outside the online platform:
The Customer has the option to send orders to info@3mservicioexpress.es Orders received in this manner must mention either the 3M product SAP reference or our references (list available upon request). The applicable prices will be those listed on the online platform, not those indicated in the received order. The delivery time may be affected by 24/48 hours.
6. Claims and Withdrawal by the Client
6.1. Any discrepancies regarding defects in the goods or the quantity delivered must be communicated in due time and form by making a note on the transport slip within a maximum period of twenty-four hours. Claims not reflected on the transport slip, where applicable, will not be accepted. After this period, Alexpo will not be liable for any claims for this reason. Claims for any other reason must be communicated to Alexpo in writing within a maximum period of 15 days from the invoice date and, in any case, always before its expiration.
6.2. Customers expressly waive their right of withdrawal. Alexpo reserves the right to accept or reject the return of goods when requested by the Client, provided that the goods are in perfect condition, in their original packaging, and are not obsolete. In the case of sterile products, for safety reasons, no returns will be accepted.
6.3. Returns of orders must be requested via email at info@3mservicioexpress.es or through Customer Service (Tel: + 34 660 619 343). In any case, if Alexpo accepts the return, it must be carried out as follows: the Customer will inform Alexpo of the merchandise to be returned so that the transport agency designated by Alexpo can collect the merchandise from the Customer's warehouse. Alexpo will refund the received amounts through a credit note, once the condition of the goods has been verified. The merchandise must be handed over to the transporter indicated by Alexpo in perfect condition, packaged in a closed and sealed covering that protects its original packaging, with the corresponding identification to trace the order.
7. Liability and Warranties
7.1. Alexpo will not, under any circumstances, be responsible for damages of any kind that may result from improper use of the product. Alexpo undertakes to deliver a quality product in accordance with the required technical specifications. Alexpo agrees to inform the Customer by all appropriate means of the conditions of product use and the precautions to be taken. Alexpo does not guarantee the suitability or fitness of its products for specific uses. Since there are factors that may affect the use and performance of the products, which are exclusively under the Customer’s control and knowledge, it is essential that the Customer evaluates whether the products meet their specific needs. The Customer assumes all risks and responsibilities arising from this.
7.2. Likewise, Alexpo will not be responsible for defects caused by external factors such as normal wear and tear, accidents, power surges, humidity, or other environmental conditions that differ from a safe and normal office or home environment. Customers will not have an automatic right to repair or replacement and waive the Civil Code provisions regarding hidden defects. Alexpo guarantees that repairs carried out will comply with the current regulations.
7.3. Alexpo's potential liability will arise solely towards the Customer. Alexpo will not be responsible for damages that may be caused to third parties as a result of the Customer's use of the goods outside of their intended purpose, unless such use has been expressly authorized by Alexpo, in which case Alexpo's liability will conform to the conditions agreed upon for that purpose.
7.4. The Customer agrees not to incite any third party to take legal action against other Alexpo entities, professionals, or employees of the group in relation to the goods or services provided.
8. Exports
Certain products, due to their origin or nature, are subject to national or international regulations that restrict their export or re-export, as well as certain countries subject to sanctions or embargoes. Consequently, both Alexpo and the Customer commit to taking all necessary measures to comply with or enforce compliance with these regulations.
9. Communications
The language in which electronic transactions will be conducted is Spanish, Portuguese, French or English depending on the language chosen by the user. Communications that Customers wish to address to Alexpo must be sent to the email address info@3mservicioexpress.es or by telephone at + 34 660 619 343.
10. Compliance with Laws
10.1. In compliance with current packaging and packaging waste regulations, the management of industrial and commercial packaging waste will be the responsibility of the final holder.
10.2. The Customer undertakes, and will ensure that the associated persons and other individuals collaborating with them in connection with Alexpo products or services also commit, to comply with Spanish, European, and other applicable laws, rules, and policies, including anti-corruption regulations. In any case, the Customer will refrain from engaging in any actions, either directly or through intermediaries, that could corrupt authorities or public officials by offering gifts, presents, offers, or promises. Similarly, the Customer will refrain from performing, requesting, or accepting, either directly or through intermediaries, unjustified promises, offers, or concessions of benefits or advantages of any kind to favor themselves or a third party against others in violation of their obligations.
10.3. If Alexpo has indications that the Customer has failed to meet their legal obligations, Alexpo may, without prejudice to any other legal measures, suspend its commercial relationship with the Customer until the conclusion of the relevant investigations or terminate the relationship altogether, without the Customer having any right to claim compensation for any damages that these measures may cause.
11. Data Protection
11.1. In accordance with the provisions of the Personal Data Protection Law (hereinafter LOPD), the personal data collected in this agreement, as well as those derived from the contractual relationship, will be incorporated into the "Management" and "Commercial" files owned by Alexpo, with its registered office at Calle Crom, 99 Nave C, L'Hospitalet de Llobregat (Barcelona - Spain), for the purpose of maintaining the business relationship. The contact details of the participants may be used to send advertising or promotional communications, including electronic commercial communications, as provided for in Article 21 of Law 34/2002, on Information Society Services.
11.2. The participants’ acceptance of the processing or transfer of their data as established in this clause is always revocable, without retroactive effect, in accordance with Articles 6 and 11 of the LOPD. The participants may exercise their rights of access, rectification, cancellation, and opposition by writing to Alexpo.
12. Intellectual Property
12.1. The intellectual property rights over the documentation generated and the original ideas conceived in connection with the services provided to the Client belong to Alexpo.
12.2. The Client may use, solely for its own purposes, all the documentation generated by Alexpo in connection with the services provided, and may not distribute it or make it accessible to any persons other than the Client, unless expressly authorized in writing by Alexpo.
13. Legislation and Competent Courts
The applicable law for electronic transactions carried out with Alexpo Converting, s.l. will be Spanish law, and unless otherwise required by applicable law, the parties expressly submit to the Courts and Tribunals of the city of Barcelona (Spain)
